En septembre 2024, une startup SaaS basee a Lausanne a atteint la phase de term sheet avec un fonds de capital-risque base a Bale. Le directeur technique avait passe quatorze mois a developper l'algorithme de recommandation central. Trois developpeurs avaient contribue dans le cadre d'accords informels, sans NDA signe. Lorsque l'equipe juridique du fonds a demande des documents prouvant quand chaque composant avait ete developpe et par qui, le directeur technique a produit des journaux de commits GitHub. Le conseiller en propriete intellectuelle du fonds a repondu: les journaux de commits peuvent etre modifies. Quel horodatage externe la startup avait-elle?

Ce qui a suivi: six semaines de retard, quarante heures d'honoraires d'avocats et un term sheet final avec une decote de 15 pour cent sur la valorisation, parce que la startup ne pouvait pas documenter de maniere incontestable quand chaque composant avait ete developpe et par qui. Ce scenario n'est pas un cas isole. C'est l'erreur evitable la plus courante dans les tours de financement de startups suisses et europeennes.
