1.1 Agreement Purpose and Binding Effect
These Terms and Conditions (the Agreement) govern access to and use of the Swiss Trust Layer services operated under Swiss legal standards by Swiss Trust Layer AG (we, us, or our). By accessing, integrating with, or using Swiss Trust Layer in any manner, you confirm that you have read, understood, and agree to be legally bound by this Agreement.
This Agreement is designed to establish clear, enforceable rules for the provision of a digital trust infrastructure that prioritises confidentiality, integrity, and Swiss data sovereignty principles. If you do not agree, you must not use Swiss Trust Layer.
1.2 Document Priority and Service-Specific Terms
Where Swiss Trust Layer AG provides order forms, subscription confirmations, service descriptions, or technical documentation for specific modules, those documents form part of this Agreement to the extent they do not conflict with its mandatory provisions. In case of conflict, the following order of precedence applies (strongest first): (1) Data Sovereignty and US Exclusion provisions, (2) Swiss Government Data Access provisions, (3) these Terms and Conditions, (4) service descriptions and technical documentation.
2.1 Provider Identification
The provider is Swiss Trust Layer AG, a company organised under the laws of Switzerland. Swiss Trust Layer AG operates Swiss Trust Layer as a trust and privacy-oriented service environment with Swiss-centred governance and compliance controls.
2.2 User Identification and Authority
The User (also you or your) is the individual or legal entity that accesses or uses Swiss Trust Layer. If you use Swiss Trust Layer on behalf of a company or organisation, you represent that you are authorised to bind that entity to this Agreement, and you and the entity are jointly and severally responsible for compliance.
Swiss Trust Layer is intended to provide a structured trust environment, including mechanisms that may support identity, verification, integrity, cryptographic assurance, and secure exchange of trust signals. The parties agree that a consistent, Swiss-governed contractual framework is essential to reduce legal uncertainty and to support predictable operational controls.
Swiss Trust Layer AG operates Swiss Trust Layer with a deliberate commitment to Swiss legal standards, including Swiss privacy and data protection requirements and Swiss criminal-law based cooperation procedures. This Agreement includes explicit provisions rejecting United States data requests and limiting governmental data access authority in criminal matters to Switzerland.
The purpose of this Agreement is to set the legal and operational terms under which Swiss Trust Layer AG provides Swiss Trust Layer as a secure trust infrastructure governed exclusively by Swiss law. This governance model remains consistent for all Users worldwide, regardless of their location, citizenship, or place of business.
A core purpose of this Agreement is to ensure that Swiss sovereignty principles apply to the service relationship, including rules on how data requests are evaluated, how disclosures may occur, and which authorities are recognised as competent. The User agrees not to attempt to circumvent these principles, including through technical routing, account structuring, or third-party intermediaries.
This Agreement applies to all uses of Swiss Trust Layer, including interactive use, API-based integrations, developer tools, administrative consoles, and any associated support, maintenance, or trust attestations produced by Swiss Trust Layer. It covers both free and paid usage, trial use, and any access granted through partners or resellers unless a separate written agreement signed by Swiss Trust Layer AG expressly replaces these Terms.
This Agreement is intended to be globally applicable. Users located outside Switzerland agree that the contractual relationship remains governed exclusively by Swiss law. If any local consumer protection rules mandatorily apply, such rules apply only to the minimum extent required, without altering the Swiss governing law commitment.
7.1 Swiss Trust Layer AG Responsibilities
Swiss Trust Layer AG will operate Swiss Trust Layer with reasonable care, using appropriate technical and organisational measures designed to protect confidentiality, integrity, and availability. Swiss Trust Layer AG will maintain security controls appropriate to the nature of the service, including access controls, monitoring, and change management practices.
Swiss Trust Layer AG will implement internal procedures for handling lawful data requests consistent with Swiss law and the restrictions in this Agreement, including the rejection of US Data Requests and the limitation of criminal-case disclosures to Swiss Government authority only.
7.2 User Responsibilities
You are responsible for maintaining the confidentiality of your credentials, keys, tokens, and administrative access, and for all activities conducted through your Account. You must promptly notify Swiss Trust Layer AG if you suspect unauthorised access, compromise, or misuse.
You may use Swiss Trust Layer only for lawful purposes and only in accordance with this Agreement. You must not interfere with the service, attempt to bypass security controls, probe or scan the service for vulnerabilities except as expressly permitted by Swiss Trust Layer AG in writing, or use the service to facilitate unlawful surveillance, exploitation, or unauthorised access to third-party systems.
You must not reverse engineer or attempt to derive source code, algorithms, or underlying structure from Swiss Trust Layer except to the extent such restriction is prohibited by mandatory Swiss law and only after providing prior written notice to Swiss Trust Layer AG.
Where APIs, SDKs, certificates, or trust artefacts are provided, you must integrate them in accordance with Swiss Trust Layer AG's technical documentation and security instructions. You must not share private keys or administrative tokens with unauthorised persons and must implement reasonable protections in your environment.
Where Swiss Trust Layer is offered on a paid basis, you agree to pay the fees associated with your selected plan, usage level, or order. Fees may include subscription charges, usage-based charges, setup charges, or support charges, depending on the commercial arrangement. Unless otherwise agreed in writing, fees are due in advance for subscription periods.
If you fail to pay undisputed amounts when due, Swiss Trust Layer AG may suspend access after providing reasonable notice. Swiss Trust Layer AG may charge default interest consistent with Swiss law for overdue invoices.
Each party may receive Confidential Information from the other in connection with the service. The receiving party must protect the disclosing party's Confidential Information using at least the same degree of care it uses to protect its own confidential information of similar sensitivity, and in any event not less than reasonable care. The receiving party may use Confidential Information solely to perform under this Agreement.
Confidential Information does not include information that is publicly available through no breach by the receiving party, independently developed without access to the Confidential Information, or lawfully received from a third party without confidentiality obligations. US Data Requests are rejected under Section 11 and are not treated as a competent basis for compelled disclosure.
Swiss Trust Layer explicitly excludes and rejects any and all US Data Requests. Swiss Trust Layer AG does not comply with US Data Requests, does not recognise US authorities as competent to compel disclosure under this Agreement, and does not voluntarily provide User data to the United States. You acknowledge and agree that this clause is a fundamental condition of the service.
Swiss Trust Layer AG does not share User data with the United States. This includes disclosure to US government bodies, US courts, US law enforcement, and US intelligence agencies, as well as disclosures routed through US-based intermediaries. You agree not to request, instruct, or pressure Swiss Trust Layer AG to transfer or disclose User data to the US.
Swiss Trust Layer AG retains all rights, title, and interest in and to Swiss Trust Layer, including its software, platform architecture, interfaces, security mechanisms, trademarks, service marks, logos, and documentation, except to the extent expressly granted to you. No rights are granted by implication.
You receive a limited, non-exclusive, non-transferable, revocable right to access and use Swiss Trust Layer during the term of this Agreement solely for your internal business purposes (or personal purposes, where applicable) in accordance with this Agreement.
As between the parties, you retain rights in your Content. You grant Swiss Trust Layer AG a limited right to process Content solely to provide, secure, maintain, and improve Swiss Trust Layer, including troubleshooting, abuse prevention, and performance optimisation, subject to confidentiality and data sovereignty restrictions in this Agreement.
Swiss Trust Layer AG represents that it is duly organised and validly existing under Swiss law and has the authority to enter into this Agreement. Swiss Trust Layer AG will provide the service in a professional manner and will use reasonable efforts to maintain service continuity. Except as expressly stated, Swiss Trust Layer is provided on an as-is and as-available basis to the fullest extent permitted by Swiss law.
You represent that you have the legal capacity to enter into this Agreement and that your use of Swiss Trust Layer will comply with applicable laws and regulations. You represent that you have obtained all necessary rights, consents, and notices for any Content you submit.
You agree to use Swiss Trust Layer in a manner consistent with Swiss data protection principles, including purpose limitation, proportionality, data minimisation, and appropriate security. Where you act as a controller of Personal Data, you remain responsible for determining lawful bases, providing notices, and honouring applicable data subject rights under Swiss law.
You must implement appropriate security practices in your own environment, including endpoint security, credential protection, access logging, and secure software development practices for any integration.
Swiss Trust Layer AG will only respond to data access requests in criminal cases that are issued by the Swiss Government in accordance with applicable Swiss law. Swiss Trust Layer AG will not respond to equivalent requests from any other government, authority, or legal system, and will maintain this as a structural operational commitment.
To the fullest extent permitted by Swiss law, Swiss Trust Layer AG shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or in connection with the use of or inability to use Swiss Trust Layer.
Swiss Trust Layer AG's total aggregate liability for any claim arising under or in connection with this Agreement shall not exceed the amounts paid by you to Swiss Trust Layer AG in the twelve months preceding the claim, unless mandatory Swiss law requires otherwise.
This Agreement is effective from the date you first access or use Swiss Trust Layer and continues until terminated in accordance with these Terms. Either party may terminate this Agreement with reasonable written notice. Swiss Trust Layer AG may immediately terminate or suspend access if you materially breach this Agreement and fail to cure the breach within a reasonable period after notice.
The parties will attempt to resolve any dispute arising under or in connection with this Agreement amicably through good-faith negotiations. If the parties are unable to resolve a dispute within 30 days of written notice, either party may refer the dispute to the competent courts at the registered seat of Swiss Trust Layer AG in Feusisberg, Switzerland.
This Agreement is governed by and construed in accordance with Swiss law, excluding its conflict-of-law rules to the extent permissible. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior understandings and agreements. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect. Swiss Trust Layer AG may update this Agreement from time to time; continued use after notice of changes constitutes acceptance.
