This End User License Agreement (the Agreement) is a legally binding contract between the User and Swiss Trust Layer AG. By accessing, installing, or otherwise using the services provided, the User acknowledges they have read, understood, and agreed to be bound by the terms contained herein.
This Agreement is designed to establish clear, enforceable rules for the provision of a digital trust infrastructure that prioritises confidentiality, integrity, and Swiss data sovereignty principles. If you do not agree, you must not use Swiss Trust Layer.
I.1 Acceptance of Terms. Use of the service constitutes unconditional acceptance of these terms. If an individual is entering into this Agreement on behalf of a legal entity, they represent and warrant that they have the legal authority to bind said entity to these conditions.
I.2 Effective Date and Revisions. This Agreement becomes effective the moment the User first accesses the service. Swiss Trust Layer AG reserves the right to update these terms to reflect changes in technology, law, or business practices. Continued use of the service following any such modifications shall be deemed as the User's consent to the updated terms, which will be available at www.swisstrustlayer.com.
The provider is Swiss Trust Layer AG, Dorfstrasse 2d, 8835 Feusisberg, Switzerland, a company organised under Swiss law. For the purposes of this Agreement, all references to the Provider, We, Us, or Our refer to Swiss Trust Layer AG and its authorised affiliates.
The User refers to any individual or legal entity that registers for, accesses, or uses the Swiss Trust Layer services. Organisational users may have additional administrative rights and responsibilities, including the management of sub-accounts. All users are bound by the core principles of data integrity and authorised use as stipulated in this Agreement.
Swiss Trust Layer was developed with the primary objective of providing secure, reliable, Swiss-quality digital infrastructure for global data management and copyright provenance. Swiss Trust Layer AG has designed this service to draw on the stability and legal protections afforded by the Swiss jurisdiction, harmonised where applicable with international standards including the GDPR.
The primary purpose of this Agreement is to define the scope of the license granted by Swiss Trust Layer AG to the User. This document is not a sale of software but a grant of a limited, non-exclusive license to use the Swiss Trust Layer service.
Subject to compliance with all terms and conditions of this Agreement, Swiss Trust Layer AG grants the User a revocable, non-transferable, and non-exclusive license to access and use the Service for its intended purposes, solely for the User's internal operations or personal use. Sub-licensing to third parties is not permitted without prior written consent from Swiss Trust Layer AG.
This Agreement applies to all uses of Swiss Trust Layer, including interactive use, API-based integrations, developer tools, administrative consoles, and any associated support, maintenance, or trust attestations. It covers both free and paid usage, trial use, and any access granted through partners or resellers.
The service is designed to be accessible worldwide. Users who access the service from jurisdictions outside of Switzerland are responsible for compliance with local laws, including those relating to data protection and the transmission of personal data.
VII.1 Swiss Trust Layer AG Obligations. Swiss Trust Layer AG shall exercise professional diligence to maintain the Service with appropriate technical and organisational measures to protect confidentiality, integrity, and availability. Swiss Trust Layer AG is obligated to notify users of any significant security vulnerabilities or data breaches that may affect their information, in accordance with Swiss data protection standards.
VII.2 User Obligations. Users must provide accurate registration information and keep their account details updated. They are responsible for maintaining the confidentiality of their passwords and for all activities that occur under their account. Users must ensure that their use of the Service does not infringe upon the intellectual property rights of others or violate any applicable laws.
You may use Swiss Trust Layer only for lawful purposes and only in accordance with this Agreement. Users are prohibited from using the service for any purpose that is unlawful, fraudulent, or malicious, including distribution of malware, phishing attacks, or facilitating criminal activities. Swiss Trust Layer AG maintains a zero-tolerance policy regarding such misuse.
Users may not attempt to decompile, reverse engineer, or extract the source code of the software components of Swiss Trust Layer except to the extent such restriction is prohibited by mandatory Swiss law and only after providing prior written notice to Swiss Trust Layer AG. Use of automated systems to extract data from the service (scraping) is strictly forbidden unless specifically authorised through an official API.
Access to certain features of Swiss Trust Layer is provided on a subscription basis. The User agrees to pay all applicable fees as specified in their chosen plan. All prices are typically quoted in Swiss Francs (CHF) and are exclusive of any applicable taxes unless otherwise stated. Subscriptions are billed in advance on a monthly or annual basis and will automatically renew unless cancelled before the end of the current billing cycle.
In accordance with Swiss commercial practices, fees paid are generally non-refundable. Swiss Trust Layer AG may, at its sole discretion, offer a pro-rata refund in exceptional circumstances or where required by mandatory local consumer protection laws. Users are encouraged to utilise any available free trial periods before committing to a paid subscription.
Both Swiss Trust Layer AG and the User acknowledge that during the course of their relationship, they may gain access to Confidential Information belonging to the other party, including business plans, technical data, customer information, and proprietary algorithms. The receiving party agrees to maintain confidentiality and not to disclose such information to any third party without prior written consent. This obligation remains in effect after termination of this Agreement.
Confidentiality obligations do not apply to information that is already in the public domain, was rightfully known to the receiving party before disclosure, or is required to be disclosed by law or a valid court order.
All rights, title, and interest in and to Swiss Trust Layer, including its software, logos, designs, and content, are and shall remain the exclusive property of Swiss Trust Layer AG and its licensors. This Agreement does not grant the User any ownership rights; it only provides a license to use the service according to the terms specified herein. No rights are granted by implication.
The name Swiss Trust Layer and related logos are trademarks of Swiss Trust Layer AG. The User is not permitted to use these trademarks in any manner that suggests endorsement or affiliation without express written permission. Any feedback or improvement ideas submitted by the User may be used by Swiss Trust Layer AG without restriction or obligation.
Swiss Trust Layer AG represents that it is duly organised and validly existing under Swiss law and will provide the Service in a professional manner consistent with industry standards. Except as explicitly stated, the Service is provided on an as-is and as-available basis. Swiss Trust Layer AG does not warrant uninterrupted operation or error-free performance.
The User represents that they have the legal capacity to enter into this Agreement and that their use of Swiss Trust Layer will comply with applicable laws and regulations. The User represents that they have obtained all necessary rights and consents for any content they submit.
Swiss Trust Layer AG adheres to the Swiss Federal Act on Data Protection (nFADP) and, where applicable, the EU GDPR. The User is also responsible for compliance with the laws of their own jurisdiction, including export control laws, data residency requirements, and industry-specific regulations. Both parties agree to cooperate in the event of regulatory audits or inquiries.
To the maximum extent permitted by Swiss law, Swiss Trust Layer AG shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising out of or in connection with the use of the Service. Swiss Trust Layer AG's total liability for any claim under this Agreement is limited to the amount paid by the User in the twelve months preceding the event giving rise to the claim.
The User agrees to indemnify and hold harmless Swiss Trust Layer AG and its affiliates from any claims, damages, obligations, losses, liabilities, or expenses (including legal fees) arising from the User's breach of this Agreement, their misuse of the Service, or their violation of any third-party rights.
This Agreement remains in effect until terminated by either party. The User may terminate at any time by closing their account. Swiss Trust Layer AG may terminate or suspend access if the User fails to comply with any terms, fails to pay fees, or if the service is discontinued.
Upon termination, all licenses granted expire immediately. Sections relating to Intellectual Property, Confidentiality, Liability, Governing Law, and Dispute Resolution shall survive termination.
In the event of any dispute, the parties agree to first attempt resolution through informal good-faith negotiations. If a resolution cannot be reached within thirty (30) days, any dispute shall be submitted to mediation in accordance with the Swiss Rules of Commercial Mediation of the Swiss Arbitration Centre. If mediation does not result in a settlement, the dispute shall be resolved by arbitration under the Swiss Rules of International Arbitration, with the seat of arbitration in Zurich, Switzerland.
Neither party shall be held liable for any delay or failure to perform its obligations if such delay or failure is caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, pandemics, or widespread failures of telecommunications infrastructure. If a Force Majeure event persists for more than thirty (30) days, either party may terminate the Agreement upon written notice.
All formal notices required under this Agreement must be in writing. Notices to Swiss Trust Layer AG should be sent to the official corporate address or via the designated legal contact at legal@swisstrustlayer.com. Notices to the User will be sent to the email address associated with their account. Notices sent via email are deemed received on the next business day after they are sent.
This Agreement and all aspects of the relationship between Swiss Trust Layer AG and the User shall be governed by and construed in accordance with the substantive laws of Switzerland. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded. To the extent that any litigation is permitted, the parties consent to the exclusive jurisdiction of the courts of Zurich, Switzerland.
Swiss Trust Layer AG reserves the right to modify these terms at any time. When a significant change is made, users will be notified through the platform or via email. Continued use of the Service after the effective date of any changes constitutes acceptance. For material changes that negatively impact the User's rights, Swiss Trust Layer AG will endeavour to provide at least thirty (30) days' notice.
This Agreement, together with the Privacy Policy and any specific Service Level Agreements signed by the parties, constitutes the entire agreement between Swiss Trust Layer AG and the User. It supersedes all prior communications, proposals, or agreements regarding the subject matter. If any provision is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
The User may not assign or transfer their rights or obligations under this Agreement without the prior written consent of Swiss Trust Layer AG. Swiss Trust Layer AG may assign its rights and obligations in the event of a merger, acquisition, or sale of assets, provided the successor entity agrees to uphold the terms of this Agreement.
This Agreement is executed on behalf of Swiss Trust Layer AG by the act of making it publicly available on the website and portal of Swiss Trust Layer AG. On the part of the User, this Agreement is executed by checking the 'I Accept' box during registration, by using the Swiss Trust Layer service, or by otherwise accessing the platform, each of which constitutes a legally binding acceptance of all terms set forth herein.
The following documents are incorporated into this Agreement by reference: the Privacy Policy (www.swisstrustlayer.com/legal?doc=privacy), the Cookie Policy Disclaimer, and the applicable Service Level Agreement for enterprise users. The Technical Appendix contains hardware and software requirements and encryption standards (AES-256). The Fee Schedule is maintained on the Provider's website.
