Im September 2024 erreichte ein in Lausanne ansassiges SaaS-Startup die Term-Sheet-Phase mit einem Basler Venture-Fonds. Der CTO hatte vierzehn Monate damit verbracht, den zentralen Empfehlungsalgorithmus zu entwickeln. Drei Entwickler hatten unter informellen Vereinbarungen ohne unterzeichnete NDAs mitgewirkt. Als das Rechtsteam des Fonds Unterlagen anforderte, die belegen sollten, wann welche Komponente von wem entwickelt worden war, legte der CTO GitHub-Commit-Logs vor. Die IP-Rechtsberaterin des Fonds antwortete: Commit-Logs konnen manipuliert werden. Welchen externen Zeitstempel hatte das Startup?

Was folgte, waren sechs Wochen Verzogerung, vierzig Stunden Anwaltskosten und ein finales Term Sheet mit einem Bewertungsabschlag von 15 Prozent, weil das Startup nicht unanfechtbar nachweisen konnte, wann welche Code-Komponente von wem entwickelt worden war. Dieses Szenario ist kein Einzelfall. Es ist der haufigste vermeidbare Fehler in Schweizer und europaischen Startup-Finanzierungsrunden.
